BOARD LIAISON / CORPORATE BOARD SECRETARY
Position Overview
This role is the primary liaison between the Executive Office and VNSNYâs Board of Directors. The Board Liaison / Corporate Board Secretary organizes general Board and sub-committee meetings, develops agendas, oversees preparation and distribution of materials, and coordinates logistics. He/she attends Board / sub-c! ommittee meetings, and follows up on resulting action items, i! ncluding writing and editing minutes, drafting resolutions, and conducting research, to ensure timely completion. He/she also supports the recruitment of new Board members and ensures their effective orientation.
The Board Liaison / Corporate Board Secretary will have the following responsibilities:
Establish and maintain consistent and ongoing communication with the Board of Directors and serve as its primary liaison to the CEO and Senior Management
Respond to Board inquiries and requests, and continually promote favorable relations between the Board and the CEO and Senior Management
Collaborate with the Board to develop agendas for all general and sub-committee meetings. Draft minutes, resolutions and communications, and ensure their timely distribution
Attend all Board meetings, keep records of all proceedings and act as custodian for all related information
Monitor and ensure compliance with corporate governance requ! irements as determined by VNSNYâs by-laws, corporate charters and policies
Collect and analyze VNSNY and industry information; prepare and distribute a variety of reports, particularly materials relevant to Board meetings
Participate in special projects, including drafting remarks and presentations and conducting research
The Ideal Candidate will have:
- Minimum of a Bachelorâs Degree in business administration, communications, public health, public relations, law or a related discipline (Graduate degree preferred)
Demonstrated knowledge of board operations, including meeting activities, information requirements and protocols, and logistical planning
Superior verbal and writ! ten communication, interpersonal, presentation and organizational skill! s
Proven ability to work independently and multi-task in a fast-paced environment
Strong project management and follow-up skills
Excellent research skills and familiarity with corporate governance requirements, e.g ., recordkeeping
Ability to interact with staff at the highest organizational level
